Welcome to Prodactivity (“we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of the Prodactivity platform (“Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use immediately.

2. Description of Service

Prodactivity is a non-intrusive workforce analytics platform that integrates with Microsoft Teams to provide visibility into team activity and productivity trends. The Service securely collects limited Microsoft Teams presence data and other generalized usage metrics to generate reports and insights for organizational use. Prodactivity does not capture or process message content, screenshots, or keystrokes. We are an independent service and not affiliated with Microsoft Corporation.

3. Eligibility

The Service is intended for organizational use by users aged 18 or older. By using Prodactivity, you represent that you have the authority to enter into agreements on behalf of your organization.

4. Accounts and Responsibilities

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must immediately notify us of any unauthorized access or breach of security.
• You agree not to use the Service for unlawful, abusive, or harmful activities.

Prodactivity is not liable for losses caused by unauthorized access to your account.

5. Subscription and Billing

Prodactivity offers subscription-based plans, billed per user per month as described on our website.

Free Trials

We may offer a free trial of the Basic plan for a limited period. After the trial ends, continued use requires an active subscription.

Payments

Payments are processed via secure third-party payment providers. All fees are billed in Australian Dollars (AUD) unless otherwise stated.

Cancellations

You may cancel your subscription at any time. Cancellations take effect at the end of your billing cycle. Data associated with your account will be securely deleted in accordance with our Privacy Policy.

Refunds

We do not offer refunds for partial billing periods or unused time, except where required by Australian Consumer Law.

6. Data Ownership and Usage

• You retain ownership of all data submitted to or generated by your organization within the Service.
• By using Prodactivity, you grant us a limited, revocable license to process and analyze your data solely for the purpose of delivering the Service.
• We will never sell or use your data for unrelated marketing or profiling.

All data collection and handling practices are governed by our Privacy Policy.

7. Microsoft Integration

Prodactivity connects to Microsoft Teams through the Microsoft Graph API under Microsoft’s permissions model. You authorize Prodactivity to access presence and related metadata solely for providing analytics. Prodactivity does not store or access Microsoft 365 content, communications, or user credentials. You must comply with your organization’s Microsoft 365 license terms when using the Service.

8. Intellectual Property

All materials, software, trademarks, and content on the Service are owned or licensed by Prodactivity. You may not copy, modify, distribute, or create derivative works without prior written permission. You retain rights to your business data and reports generated through your use of the Service.

9. Service Availability and Support

We aim to maintain continuous Service availability but cannot guarantee uninterrupted access. Maintenance, updates, or third-party outages (e.g., Microsoft 365) may cause temporary disruptions. Prodactivity is not liable for service interruptions beyond our reasonable control.

10. Termination

We may suspend or terminate your account if:

• You violate these Terms
• You misuse or attempt to breach the Service
• Your subscription remains unpaid beyond the billing grace period

Upon termination, your access ceases immediately, and associated data will be deleted per our retention policy.

11. Limitation of Liability

To the fullest extent permitted by law, Prodactivity shall not be liable for:

• Loss of profits, business, or data
• Indirect or consequential damages
• Service interruptions, bugs, or third-party outages

In all cases, our aggregate liability shall not exceed the total amount paid to Prodactivity in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold Prodactivity harmless from any claims, damages, or expenses arising from your use of the Service or breach of these Terms.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles. You agree that any disputes shall be subject to the exclusive jurisdiction of the courts located in Sydney, NSW.

14. Changes to Terms

We may update these Terms periodically. Updates take effect upon posting to our website. Your continued use of the Service after such updates constitutes acceptance of the revised Terms.
